Terms of Service

1.Agreement to terms

These Terms of Service ("Terms") are a legal agreement between you and Pascat Graphics & Marketing ("Pascat," "we," "us," or "our"), a custom software and marketing studio based in Keysville, Virginia. By visiting estimatorpro.co, creating an account, starting a trial, or otherwise using any EstimatorPRO app or service (together, the "Services"), you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of a business, you represent that you are authorized to bind that business, and "you" includes that business.

If you do not agree to these Terms, do not use the Services.

2.The Services

The Services include the estimatorpro.co website; the EstimatorPRO applications for roofing, tree care, and other trades (for example roofing.estimatorpro.co and tree.estimatorpro.co); EP Voice and other AI voice agents; lead widgets, CRMs, and related tools; and any custom software we build and host for you. The Services help contractors measure, estimate, propose, contract, invoice, schedule, communicate with customers, and manage their businesses.

We may add, change, suspend, or remove features at any time. Features marked "beta," "preview," or "coming soon" may be incomplete, may change, and may be withdrawn without notice.

3.Eligibility & accounts

• You must be at least 18 years old and able to form a binding contract to use the Services.
• You must provide accurate, current information when creating an account and keep it updated.
• You are responsible for keeping your login credentials confidential and for all activity under your account, including activity by team members you invite.
• Notify us immediately at support@estimatorpro.co if you suspect unauthorized access to your account.

4.Free trials

We may offer free trials or free usage tiers. Trials may be limited by time, features, or usage (for example, a number of measurements or minutes). We may modify or end a trial at any time. Unless you upgrade to a paid plan, your access may be reduced or suspended when the trial ends, and trial data may be deleted after a reasonable period.

5.Subscriptions & billing

• Recurring charges. Paid plans are billed in advance on a monthly or annual basis through our payment processor. By subscribing you authorize us to charge your payment method on each renewal date until you cancel.
• Usage-based fees. Some features (such as measurements, voice minutes, text messages, or add-ons) may be billed based on usage, as shown in your plan or on our pricing page.
• Taxes. Prices exclude applicable taxes, which you are responsible for.
• Price changes. We may change prices with at least 30 days' notice. Changes take effect at your next billing cycle.
• Cancellation. You may cancel at any time from your account settings or by contacting us. Cancellation takes effect at the end of the current billing period, and you keep access until then.
• Refunds. Fees are non-refundable except where required by law or where we expressly state otherwise.
• Failed payments. If a payment fails, we may retry it and may suspend the Services until payment is received.

6.Your data

You own the data you enter into the Services, including records about your clients, leads, jobs, photos, measurements, and documents ("Customer Data"). You grant Pascat a worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Data solely to provide, secure, and improve the Services and as otherwise permitted by our Privacy Policy.

You are responsible for the accuracy and legality of Customer Data and for backing up anything you cannot afford to lose. We provide export tools for many data types; contact us if you need help exporting your data before closing an account.

7.Consumer data & consent

When you store information about homeowners or other consumers in the Services, you act as the business responsible for that data and Pascat acts as your service provider. You represent that you have the legal right, and have obtained any notices and consents required by law, to collect, upload, and use that information — including consent to send text messages, to record calls, and to share data with any third-party integrations you connect.

8.Messaging & voice services

• You will send text messages only to recipients who have given prior express consent, and you will honor opt-out requests (such as STOP) immediately.
• You will comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM, carrier and CTIA guidelines, and all applicable telemarketing and consumer-protection laws.
• Business texting requires carrier registration (A2P 10DLC). You agree to provide accurate business information for registration, and you understand that messaging may be delayed or unavailable until registration is approved.
• Where you enable call recording, you are responsible for providing any recording notice required in your jurisdiction.
• We may suspend messaging or voice features that generate complaints, carrier filtering, or suspected abuse.

9.AI features & measurements

The Services include AI-powered features such as chat assistants, voice agents, scope writers, and automated roof and property measurements derived from aerial imagery and property data.

AI agents act on your behalf only within the settings you configure. You are responsible for reviewing what your AI agents communicate to your customers. You will not use AI features to generate unlawful, deceptive, or harmful content.

10.Acceptable use

You agree not to:

• Use the Services to violate any law or the rights of others;
• Send spam, unsolicited messages, or messages without required consent;
• Upload malware or content that is unlawful, infringing, defamatory, or harassing;
• Attempt to gain unauthorized access to the Services, other accounts, or our systems;
• Scrape, crawl, reverse engineer, or copy the Services or their data except as permitted by law;
• Resell, sublicense, or share your account or the Services without our written permission;
• Interfere with the operation or security of the Services or overload our infrastructure;
• Impersonate any person or business, or misrepresent your affiliation with anyone.

11.Intellectual property

The Services — including software, design, text, graphics, logos, trademarks (including "EstimatorPRO," "EP Voice," and "Pascat"), and all related intellectual property — are owned by Pascat or its licensors and are protected by copyright, trademark, and other laws. Except for the limited right to use the Services under these Terms, no rights are granted to you. If you send us feedback or suggestions, we may use them without obligation to you.

12.Third-party services

The Services rely on and integrate with third parties, including payment processors, telephony and messaging carriers, mapping and property-data providers, AI providers, accounting software, calendars, photo services, and lead sources. Your use of any third-party service is subject to that provider's terms and privacy policy. We are not responsible for third-party services, their availability, or how they handle your data, and we may change or discontinue integrations at any time.

13.Custom builds & marketing services

Pascat also provides custom software development, CRM builds, lead widgets, email campaigns, voice agents, and marketing services. Those engagements are governed by a separate written proposal, statement of work, or agreement. Where that agreement conflicts with these Terms, the separate agreement controls for that engagement. Unless otherwise stated in writing, Pascat retains ownership of its pre-existing tools, frameworks, and platform code, and you receive a license to use the deliverables for your business.

14.Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT MEASUREMENTS, ESTIMATES, OR AI OUTPUTS WILL BE ACCURATE OR COMPLETE. YOU USE THE SERVICES AT YOUR OWN RISK.

15.Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PASCAT AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

16.Indemnification

You agree to defend, indemnify, and hold harmless Pascat and its owners, employees, and contractors from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) Customer Data, (c) your messaging, calling, or marketing activities, (d) work you perform for your own customers, or (e) your violation of these Terms or any law.

17.Termination

You may stop using the Services or close your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, fail to pay, create risk or legal exposure for us, or if we discontinue the Services. Upon termination, your right to use the Services ends. We will make reasonable efforts to allow you to export Customer Data for a limited period after termination, after which we may delete it. Sections that by their nature should survive termination (including Sections 6, 11, and 14–19) will survive.

18.Governing law & disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Virginia, and you consent to personal jurisdiction and venue there. Before filing a claim, you agree to first contact us at support@estimatorpro.co and attempt in good faith to resolve the dispute informally for at least 30 days. To the extent permitted by law, you waive any right to participate in a class action against us.

19.General

• Entire agreement. These Terms, the Privacy Policy, the Messaging Terms, and any written service agreement make up the entire agreement between you and Pascat regarding the Services.
• Severability. If any provision is found unenforceable, the rest of the Terms remain in effect.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including carrier outages, third-party provider failures, or natural disasters.
• Notices. We may send notices to the email address on your account. Notices to us should go to support@estimatorpro.co.

20.Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms here with a new "Last updated" date and, where appropriate, notify you by email or in the app. Continued use of the Services after changes take effect means you accept the updated Terms.
